Summary:
-Presentation of the legal status of shareholders in general, as far as their liberty to draw the statute of an SA is concerned, in comparison with other corporate types, taking into account the rigidity of the corporate law and the general principles that regulate the establishment and the proper functioning of the above mentioned entity, which are generally accepted as compulsory for all contracting parties according to legal science and jurisprudence, due to the fact that many relevant legal provisions are considered strictly binding. Presentation of the main principals that guide the legal status of shareholders, with special reference to their right to vote and the compulsory principal of one share-one vote, according to the provisions of greek corporate law. The meaning, and different types of shareholders agreements, as well as the conditions of their validity, in the aspect of contract law and corporate law, when the right to vote is concerned, with special reference to legal provisions concerning this type of agreements , which lie beyond the statute. The relation between shareholders agreements and statute and the legal effects of valid and invalid agreements as far as the contracting parties, the company itself or third parties are concerned, according to contract law and corporate law, taking into account the legal provisions of corporate law that regulate the conditions under which any decision of the General Assembly of the shareholders can be contested at court.
