Summary:
This paper addresses the issue of the use of MFN clauses as electronic price search tools in online transactions and the assessment of their use in terms of competition law and mainly on the basis of positive and negative outcomes which are likely to result in competition. The analysis focuses on the examination of the results of the above clauses through the cases dealt with by the Competition Authorities in Europe and the United States, in particular with regard to their use in the e-books market, the hotel room reservation online market, and the electronic purchase of insurance products market in the United Kingdom. In particular, it is important to analyze a specific type of such clause, the retail MFN or the platform MFN clause, through the cases dealt with both by the European Commission and by the national competition authorities in the European area, which have examined under what conditions their use is contrary to Articles 101 and 102 TFEU and in what circumstances are necessary tools to improve the quality of the goods and services provided to final consumers and, specifically, to stimulate the innovation and quality, and to address the phenomena of investment distortion in advertising, promotion and improvement of technology.
