Summary:
The contracts shall not only be respected but also formed by the parties. Any external intervention in a contractual relationship contravenes the fundamental principle of freedom of contract (Article 361 of the Greek Civil Code) and undermines the security of transactions in key economic sectors, such as the banking sector. Nonetheless, in the context of the Greek legal order, the judge may intervene in a contract when the contractual equilibrium is disturbed to such an extent that “socially intolerable” results are produced. The present thesis examines the range of the legal effects that a judge is entitled to order in case of unforeseen changes of circumstances or abusive exercise of the freedom of contract, within the framework of a credit agreement. Subsequently, the legal effects of «equity clauses» and provisions prohibiting the abusive exercise of the freedom of contract are categorized on the basis of the Aristotelian scheme “corrective-distributive justice”, for the purpose of detection and/or identification of relevant trends in the jurisprudence of the Greek Courts.
