Summary:
The thesis examines the relationship between corporate governance principles and business profitability expressed in profitability indicators. The first part provides an in-depth analysis of the importance of Corporate Governance and the terminology around it. In particular, its basic theories such as representation theory, stakeholder theory, committee theory, and transaction cost theory are analyzed. The role and key responsibilities of the Board of Directors in Corporate Governance are then reviewed and its structure is further analyzed. Reference is also made to the special committees that form part of the whole business. The first part then discusses the benefits of corporate governance in businesses.
Finally, there are some case studies of companies with weak corporate governance as well as new trends in corporate governance and its revised code.
The present thesis examines the relationship between the principles of Corporate Governance and the efficiency of enterprises expressed in terms of efficiency indicators. The first part of the thesis is an in-depth analysis of the importance of Corporate Governance and the terminology around it. In particular, its basic theories, such as the agency theory, the theory of stakeholders, the theory of commissioning, and the theory of transaction costs, are analyzed. The role and the main responsibilities of the Board of Directors in Corporate Governance are then examined, and an analysis of its structure is also made. Reference is also made to the special committees that form part of the whole of a business. The first part of the study also refers to the benefits of Corporate Governance in business. Finally, there are some cases of companies with weak corporate governance as well as the new trends in corporate governance and the revised code. The second part of the thesis follows an empirical analysis based on the correlation of three principles of corporate governance, the size of the Board of Directors, the size of the Audit Committee and the number of meetings of the Board of Directors with three main indicators: ROE, ROA, EPS, in order to conclude to useful information.
