Summary:
The purpose of this thesis is to study horizontal mergers, and more
specifically to determine the most common ways used for their evaluation by the
Competition Authorities worldwide. This study involves six principal parts. In
the first part, important definitions and information about horizontal mergers
are presented, so that all the concepts described and analyzed in the following
parts will be completely understandable. In the second part, there is a
presentation and description of the main positive and negative effects of M&A
on market participants, i.e. consumers and producers. We then present the
economic framework and the models under which the aforementioned effects on
social welfare are evaluated. The aim of the fourth part of this study, is to
provide a detailed presentation of the main points of Competition Law in
different countries-regions of the world (like the USA, the European Union,
Greece etc), and also to highlight the procedures followed by all parties
involved in a merger, and the obligations these parties have. In the fifth part
of the study, the evaluation process of a merger is presented, based on two
different approaches. The first one is the traditional approach, based on
market concentration, and was the main method for the assessment of horizontal
mergers for many decades around the world. The second one, is the modern
approach, based on the modern methodological tool of upward pricing pressure,
and is now considered by the experts the most appropriate way for assessing
horizontal mergers. In the last part, we present the main results of this
research, which will provide a brief but complete and factual picture of
horizontal mergers, i.e. their effects on society, the assessment of these
effects, Competition Law and all the processes and approaches used for their
evaluation.
