Summary:
The transportation of Solvency II Directive into the greek national law system evoked many questions among insurance companies and legal professionals. Some the main regulations are, on the one hand, the internal organisation of insurance companies, and on the other hand, the transparency of their operation and functions. The role of the Board of directors is enhanced, and their duties are being mentioned in detail in law 4364/2016. The risks that an insurance company faces, the publication of important information and the role of the BoD in order to make sure that the law is being implemented, comprise some of the subjects being analysed in the diploma thesis. The relation between the new law and the former law, as well as the constitution of risk management system and the supervision of its operation, in correllation with the business judgement rule doctrine are mentioned aswell.
