Summary:
A key institution of contract law to strengthen the creditor's position is the penalty clause (CC 404).The term means the "ancillary contract by which one party promises the other that if not fulfilled or not properly fulfilled an obligation due to this provision would pay the agreed penalty ".It is about an eventual agreement and means of pressure to ensure the fulfillment of the main obligation, which is under the peculiar (negative) condition of non-performance or improper performance of the obligation stemming from the main contract.This paper focuses on how the institution is adjusted in the context οf CC, the different views related to its nature, the species distinguished and the dimension of other institutions reinforcing the position of the creditor.Furthermore, the paper analyzes the forfeiture of the penalty, the meaning of the excessive penalty and ways of identifying this by the judge. Moreover the paper presents the criteria judge shall use to establish the disproportionate penalty and make a redefinition of legality in order to balance the interests of the parties.
