Summary:
The present thesis deals with the pledge of dematerialised securities, that is, securities which have lost their physical status and have been registered with electronic means in national and Community securities registries and which can be issued both by listed and non-listed companies. The analysis starts from the stage of creation of the pledge and reaches the liquidation stage which takes place as a stock sale regarding the dematerialised securities of listed companies. The trilateral legal relationship been created between the pledgor, the holder of the securities and the pledgee is also examined. Moreover, the “definition” and the “legal nature” of the dematerialised securities are considered and as well as “the purpose” of their circulation in order to deal with the legal function of the pledge in a harmonized way and to use the most suitable legal provisions. Furthermore, the recent changes been made particularly by Laws 4514/2018, 4548/2018 and 4569/2018 are considered, for the reason that they have influenced the dematerialised securities and their pledging issues. Finally, a brief presentation of the relevant stock provisions dispersed in different legal texts that regulate the most technical - procedural issues is made.
