Summary:
In recent years, the collapse of several business giants worldwide and the outbreak of accounting scandals have increased the interest of researchers in studying the relationship between Corporate Governance and firm performance. However, as the Boards are responsible for the governance of the organization and consequently for its successes or failures, special emphasis has been given by the researchers on examining the relationship between the Boards - and in particular the size and composition - and firm performance. In the international literature there are several and conflicting results concerning the relationship between the independence and size of the Board of Directors and firm performance. The purpose of this paper is to examine whether the size and composition of the Board of Directors are related to the firm performance. As a measure of firm performance we used ROA. Using a sample of 130 companies operating in the Greek domain and listed on the Athens Stock Exchange for the period 2013-2017, we find that both the percentage of independent members of the Board of Directors and its size are not significantly related to the performance of the company. Based on these results, we find that the size of the Board of Directors and the proportion of independent members in it do not play an essential role in the performance of the company.
