Summary:
The issue of the defective decisions of the Board of Directors under the previous L. 2190/1920 was between two different legal doctrines. The first and prevailing legal doctrine adopted the supplementary application of the general provisions of invalidity of the Civil Code, while the second-minority view- adopted the application mutandis mutandis of the provisions of the defective decisions of the General Assembly. Despite their advantages, both deemed insufficient. This consequent divergence and legal uncertainty was eliminated by L. 4548/201, which aimed to the prevention of disputes and uncertainty on the issue. The "dialogue" between doctrine and jurisprudence regarding the treatment of the defective decisions of the BoD led to the implementation of Article 95, which trivialized the legislative gap. The new provision is overall successful, as it “combines” the advantages of the abovementioned opposite legal doctrines of the previous law. Article 95 constitutes a legislative option fully consistent with the transaction security and the functioning of the Board of Directors, as well with the law of the defective decisions of the General Assembly. However, the rule of invalidity, as provided in Article 95 results in some cases in strict or contradictory outcomes. Nevertheless, based on an overall analysis of Article 95 there is no doubt that the provision is moving towards the right direction.
