Summary:
The present doctoral dissertation addresses the issue of the civil liability of capital market’s gatekeepers towards investors. The study includes an introductory part, in which the general frame of capital market is described and the dissertation’s methodology is developed. It is divided into five chapters. The first chapter deals with the definition of gatekeeper’s concept and characteristics. In the second chapter takes place a comparison between the legal bases of gatekeepers’ civil liability. In the third chapter the duty of care is described. In the fourth chapter substantive and procedural issues regarding gatekeepers’ liability are analysed, while in the fifth chapter the interdependence and the interaction between more gatekeepers are addressed. The dissertation concludes with the final remarks.
