The place of performance
Summary:
The place of performance is an element of the contract’s performance and identifies the place where the debtor shall execute his obligation and the creditor shall be obliged to accept. It is systematically located in the Contracts Chapter of the Greek Civil Code and is related with the normal execution of the contract and the fulfillment of contractual obligations.
The purpose of the present dissertation is to highlight the meaning of the term of the place of performance, its importance and how the place of performance is interpreted in modern legal practice as the current legal provisions included in the Greek Civil Code for this matter reflect old practices used in old-fashioned society. It is therefore examined how the place of performance is determined, and differ from the kind of transactions and legal relationship as traditional or modern.
The present dissertation is divided into nine (9) chapters, starting from the regulatory framework of the place of performance including a historical and comparative examination of this legal concept. After the first chapters, the determination of the place of performance according to the nature of the debt as a monetary and non -monetary as well as the determination of the place regarding secondary obligations deriving from the main contractual obligation is examined. Furthermore, the place of the performance in sales’ contacts is examined, the legal consequences and the place of performance as a basis of special jurisdiction are also examined. Finally, it is examined how the place of performance may be determined in cases where it is difficult to detect where is the actual place (such as agreements over the internet).
