The integration of European green bonds into the Greek legal system

This paper deals with the introduction of the European Green Bonds into the Greek legislation via the upcoming entry into force of the Regulation (EU) 2023/2631. It delves into the nature of green bonds as an instrument of sustainable finance, their special traits in comparison to other categories of bonds, such as the common bonds of Law 4548/2018 or the sustainability linked bonds, the advantages identified in the relevant market for issuers and investors of these bonds and the beginning of regulation of issues of that market, which until a few years ago were mainly approached by market practices. In addition, the EU sustainable finance law and the regulations and exemptions introduced by the Regulation for the European Green Bond in order to use this designation are examined. Furthermore, it examines the imposition of administrative and criminal sanctions on the issuers and the external reviewers under this Regulation. Finally, specific issues arising from the application of the Regulation are explored, such as the conversion of non-performing "red" loans into European Green Bonds, the importance of the Regulation for the corporate social responsibility of the companies and the civil liability of the issuer of European Green Bonds due to greenwashing.
